General Terms & Conditions

Introduction

  1. These terms and conditions outline the rules and regulations for using our services. By engaging with us, you agree to comply with and be bound by these terms. It is essential to read this document carefully to understand your rights and responsibilities, as well as the scope of our services.

Definitions

  1. “Client”: Refers to any individual or entity that engages the services of InvitaFusion Studios or its Daughter Companies and accepts these terms and conditions.
  2. “Services”: Includes all design and consultation services provided by InvitaFusion Studios and its Daughter Companies, including but not limited to graphic design, branding, and related digital solutions.
  3. “Deliverables”: Refers to the final products or outcomes that InvitaFusion Studios is contractually obligated to provide to the Client upon completion of the Services.
  4. “Agreement”: Refers to the contractual understanding between the Client and InvitaFusion Studios, encompassing these terms and any subsequent modifications.
  5. “Confidential Information”: Refers to any proprietary or sensitive information exchanged between the Client and InvitaFusion Studios during the course of their engagement, including business plans, financial information, and any other information designated as confidential.
  6. “Daughter Companies”: Refers to Evercrafted Design Studios, ByteBrush Hub, Digivision Gallery, and Infinite Impressions, which operate under the umbrella of InvitaFusion Studios

Scope of Services

  1. InvitaFusion Studios, along with its Daughter Companies—Evercrafted Design Studios, ByteBrush Hub, Digivision Gallery, and Infinite Impressions—provides a comprehensive range of design and consultation services. These services are tailored to meet the unique needs of our clients and may include, but are not limited to:
  • Graphic Design: Creation of visual content to communicate messages, including logos, marketing materials, and digital graphics.
  • Branding: Development of brand identity, including logo design, brand guidelines, and visual assets that represent the client’s values and mission.
  • Digital Solutions: Providing customized digital products such as website templates, social media graphics, and presentation templates.
  • Consultation Services: Offering expert advice on design strategies, branding approaches, and digital marketing initiatives to enhance client projects.
  • Custom Projects: Tailored design services based on specific client requirements, including unique projects that fall outside standard offerings.
  1. The scope of services does not include ongoing maintenance or support beyond the completion of the project unless explicitly stated in the Agreement. Additional services required after project completion will be subject to new terms and fees.
  2. One round of revisions is included with all services. Additional revisions beyond the first round may incur extra charges, which will agreed upon prior to implementation.

Client Responsibilities

  1. As a client, you agree to:
  • Provide accurate and complete information necessary for the fulfillment of your order.
  • Communicate any specific requirements, preferences, or feedback promptly to ensure timely project completion.
  • Ensure that all materials provided for the project do not infringe on the rights of any third party.
  • Make timely payments as outlined in the payment terms to avoid any delays in service delivery.
  1. All client responsibilities pertain to InvitaFusion Studios and/or its Daugther Companies.

Client Conduct:

  1. InvitaFusion Studios expects all clients to communicate respectfully and professionally. If a client displays disrespectful behaviour, including but not limited to harassment, threats, or abusive language, we reserve the right to terminate the agreement immediately. In such cases, any payments made for unrendered services will be assessed, and a partial refund may be issued at our discretion based on the amount of work completed.

Confidentiality

  1. We prioritize the confidentiality of your information. We will not share your personal or project-related details with third parties without your explicit consent, except as required by law. This includes any information collected through our website.
  2. Please note that we use third-party plugins to enhance our website’s functionality. While we strive to select reputable plugins, we cannot guarantee their data collection practices. We are committed to transparency and will provide information about any significant plugins that may affect your data. Your trust is important to us, and we are dedicated to maintaining your peace of mind regarding data handling.

Limitation of Liability

  1. To the fullest extent permitted by law, InvitaFusion Studios shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of our services. Our liability for any claim related to the services provided shall be limited to the total fees paid by you for the specific service in question. This limitation applies regardless of the nature of the claim, whether in contract, tort, or otherwise.

Operations

  1. InvitaFusion Studios operates on Eastern Standard Time, accordingly all orders will be fulfilled based on this timezone.
  2. All items have a turnaround time of 7 business days unless otherwise communicated
  • Turnaround times may be subject to change based on our current volume of orders
  1. Any additional consultation time for a project will be billed at a rate of $30 /hour. This applies to all services.
  2. Please note that turnaround times do not include weekends or Canadian public holidays. Any closures will be communicated in advance or posted on our website.
  3. One round of revisions is included with all services; additional revisions may incur extra charges.
  1. If you have specific needs regarding file formats or modifications, please discuss them with us prior to project commencement, and we will do our best to accommodate your requests within the agreed-upon scope of work.

Payment Terms & Cancellation Policy

  1. All services require full payment upfront before work begins unless otherwise agreed upon in writing.
  2. Orders can be cancelled within 24 hours of placement for a full refund. After this period, refunds will not be available.
  1. Clients may request changes to their order within 24 hours of placement. After this period, additional fees may apply depending on the extent of the changes.

Force Majeure:

  1. InvitaFusion Studios is not liable for delays caused by events beyond our control, including natural disasters and technical failures. We will communicate expected delays and may terminate the agreement if delays exceed 30 days.

Termination of Services

  1. Either party may terminate this agreement with written notice. Clients may terminate if deliverables do not meet agreed-upon standards. InvitaFusion Studios or its Daughter Companies may terminate immediately for breaches of this agreement, including disrespectful or abusive behaviour. Upon termination, clients are responsible for payment for work completed, and a partial refund may be issued at our discretion for unrendered services.

Original Files

  1. Upon completion of the design project, clients will receive print-ready files in PDF format and/or high-resolution digital formats (e.g., JPG, PNG) suitable for distribution and printing.
  2. The original design files will not be provided to clients. This is to protect the proprietary tools and software utilized in the design process.

Intellectual Property Rights

  1. InvitaFusion Studios retains all ownership rights to the original designs, concepts, and intellectual property created during the engagement, including but not limited to, images, graphics, layouts, and any associated intellectual property.
  2. Clients are granted a limited, non-exclusive license to use the Deliverables for commercial purposes as specified in the Agreement. This license allows the Client to utilize the designs for their intended business activities while ensuring that ownership remains with InvitaFusion Studios.
  3. The Client agrees not to modify, resell, or create derivative works from the Deliverables without prior written consent from InvitaFusion Studios. Any intended broader commercial use or distribution beyond the agreed-upon scope requires explicit approval and may incur additional fees.
  4. Clients may use the deliverables for their intended purposes without the requirement to credit InvitaFusion Studios in public-facing materials. However, this use does not transfer ownership of the designs.
  5. If a client desires full ownership of the deliverables, including the right to modify or resell the designs, they must discuss this request with InvitaFusion Studios prior to project commencement. Additional fees and terms may apply for the transfer of ownership.
  6. Both the Postcard Design and Greeting Card Design are available for commercial use redistribution. The rights still belong to InvitaFusion Studios.

Significant Commercial Use

  1. Designs cannot be modified or resold without prior approval from Invitafusion Studios.
  2. Any intended use of the delivered design files for commercial purposes that exceeds a specified threshold requires prior approval from Invitafusion Studios. This includes, but is not limited to:
  • Large Quantity Distribution: Commercial use that involves producing or distributing more than 1,000 printed units or 1,000 digital copies of the designs.
  • High-Value Advertising: Use in marketing campaigns that exceed a total budget of $1,000 in total marketing costs.
  • Broad Market Reach: Distribution of designs intended for a wider audience (10,000 people or greater) or in multiple markets, which could potentially lead to increased visibility and sales.

Terms

  1. InvitaFusion Studios reserves the right to modify these terms at any time. Changes will take effect immediately upon posting on our website, and clients will be notified via email. Continued use of services after changes constitutes acceptance of the revised terms.

Applicability of Terms

  1. These General Terms & Conditions apply to all services provided by InvitaFusion Studios and its daughter companies: Evercrafted Design Studios, ByteBrush Hub, Digivision Gallery, and Infinite Impressions. By engaging with any of these entities, the Client acknowledges and agrees to comply with these terms as outlined herein.

Acknowledgment of Understanding

  1. By engaging with InvitaFusion Studios, the Client acknowledges that they have read, understood, and agree to comply with these General Terms & Conditions. The Client confirms that they have had the opportunity to seek independent legal advice regarding the terms outlined herein and that their acceptance of these terms is voluntary and informed.
